The firm offers legal counselling in the full scope specified in the Law on Legal Advisers, in particular the following areas:

2.1 COMMERCIAL LAW

  • We provide counselling on aspects of Polish commercial law, in particular with regards to establishing, merging, purchasing and reorganizing business entities.
  • Legal representation at shareholders meetings, general meetings of shareholders, sessions of the supervisory board;
  • Performing, on behalf of the client, so-called “ownership supervision”; Representation at sessions and passing resolutions on behalf of the client;
  • Drafting and negotiating contracts with the company's partners/shareholders;
  • Legal representation at management boards, supervisory boards and shareholder meetings/general meetings of shareholders;
  • Preparing projects of documents in the course of registry court proceedings for the purpose of making proper entries into the commercial register;
  • Providing counselling within the scope of merging, dividing or restructuring commercial companies.

2.2. CIVIL LAW

  • Preparing legal advice, taking into account the aim of each transaction in order to achieve an optimal result.
  • Drafting the contracts necessary for the client to conduct his business activity, giving opinions on draft versions of contracts and offering assistance in the course of negotiations.

2.3 E-COMMERCE AND COPYRIGHT

  • Drafting and negotiating contracts connected with providing and implementing IT systems;
  • Legal counselling regarding IT technologies, including contracts.
  • Legal counselling includes also issues concerning trademark registration and the area of intellectual property rights and copyright.
  • Legal counselling within the scope of legal aspects of e-commerce, contracts concluded over a distance and privacy protection;
  • Legal counselling regarding personal data protection, including conducting the needs analysis, devising necessary procedures and documents as well as assisting in the procedure of submitting all personal data to the Inspector General for Personal Data Protection;
  • Preparing, assessing and negotiating enterprise agreements and other contracts regarding trading of or exercising intellectual property rights.

2.4 REORGANIZATION AND MERGERS (“M&A”)

  • Preparing legal analyses of operating companies.
  • Considering the legal aspects of the conception of acquiring an enterprise or its assets; 
  • Preparing, assessing and negotiating contracts pertaining to the acquisition of a company;
  • Legal assistance in the process of obtaining all necessary permits and support in the course of implementing the action plan;
  • Counselling within the scope of purchasing shares in companies, including the companies listed on the stock exchange.

2.5. INVESTMENT LAW, REAL ESTATE

  • Preparing an analysis of the legal condition of a particular property chosen by the investor;
  • Developing and conceiving real estate purchase transactions;
  • Preparing and negotiating contracts which constitute the grounds for purchasing the legal title to real estate, agreements with contractors and contracts with prospective users of the premises, e.g. tenants;
  • Legal counselling within the scope of rendering habitable and managing real estate properties, including compiling the necessary documents, rules and regulations as well as contracts;
  • Legal counselling in the process of the investors' obtaining financial means for the undertaking;
  • Legal counselling connected with real estate securities.

2.6. PUBLIC PROCUREMENT

  • Counselling for any clients who may be obliged to organize a tender in the form of a so-called public procurement (as the Ordering Party) as well as the tenderers (as the Contracted Party).
  • Counselling on the correct execution of a tender, compliant with the object of the tender and the category to which the Ordering Party belongs (public entity and private entity).
  • Legal counselling with regard to compiling all necessary documents, among others: notices, instructions for the Contracted Party, specification of the main terms of the procurement, evaluation criteria, protocols, appeals as well as any documents and letters submitted to the Public Procurement Office.
  • Supervision over the correct formal process of the tendering procedure.

2.7. ANTI-MONOPOLY LAW AND UNFAIR COMPETITION

  • Preparing analyses of planned transactions bearing in mind the obligation to  inform the President of the Office for Competition and Consumer Protection about the intention to implement a concentration, in particular in connection with the purchase of shares or assets of substantial value.
  • Compiling the necessary documents and legal assistance connected with making a referral to the President of the Office for Competition and Consumer Protection, and monitoring of the proceedings.
  • Preparing analyses of the contracts concluded by the Client, his investments and internal procedures with particular attention to their compliance with Polish and European Competition law.
  • Legal counselling, including representation in court, in cases of unfair competition acts, including unfair advertising, and using trademarks or similar marks without the consent of their owners. 
  • Preparing risk analyses and evaluations in connection with the entrepreneur's planned course of action, concluding contracts and agreements in cooperation with business entities operating in the same industry.

2.8. LABOUR LAW

  • Counselling within the scope of labour issues, in concluding and terminating employment contracts, including contracts with foreign nationals.
  • Drafting management agreements and non-competition contracts.
  • Preparing legal analyses regarding compliance with the labour law.

2.9. LITIGIOUS ISSUES AND COURT PROCEEDING

  • Counselling and representation in court, arbitration and administrative proceedings.
  • Assisting in the choice of a proper procedure.
  • Negotiations and mediation in economic disputes.

2.10. PENAL LAW

  • Counselling and representation in penal proceedings and treasury - penal proceedings in court and during the preparatory proceedings.
  • Assisting the members of the Management Boards of joint stock companies within the scope of penal liability, including representation before judicial authorities.
